Gearworks is developing a next-generation infrastructure software platform that enables the rapid deployment of mobile and wireless applications across multiple vertical industries. Integrated Power Solutions is developing a low temperature commercial scale semiconductor style manufacturing process for an advanced solid state lithium ion battery. This process will have follow-on application in many energy areas including fuel cells, photovoltaics and supercapacitors. The ability to produce this battery in a low temperature environment allows a broad product mix from standard replacement cells to unique integration concepts from power on-board IC's to powered smart cards and a host of other products. Einsof provides Internet-based software that allows companies to create the user interactions critical to strong channel relationships and clear communication. The Einsof Hub is designed to maximize a company's value chain, from providing dynamic content management to personalization to measuring consumer's responses in a secure, permissions based and integrated framework. We provide software that reduces operational costs, is easy for business users to administer, is quickly deployed and focused to meet the needs of organizations to create and manage information and interactions across customers, vendors and employees.

Reshare offers channel management software and solutions that make it possible for manufacturers to sell online direct to end users without circumventing their valuable channel partners [distributors, retailers, sales associates]. Our products resolve channel conflict, guarantee complete brand control, and enhance the relationship between manufacturers, distributors, retailers and the end user. Channel conflict(s) occurs when one partner [in a distribution chain] attempts to sell product in a self directed beneficial manner to the exclusion or detriment of any of the other channel partner(s). Currently, there are seven competitors to our software solutions. None offer a complete closed loop channel management solution with total brand control as we do.  The financial strategy of Reshare emphasizes reinvestment of income for growth during the next two years of operations, with the company reaching profitability in the forth quarter of 2002. Annual projected net income for year five $41.5 million with total shareholder equity of $19 million.
